These Terms & Conditions ("Terms") govern your use of the WEIHAI ZHENGWEI MACHINERY CO.,LTD website (https://zhengweireactor.com) and any purchase of chemical reactors or related equipment from us ("the Company"). By submitting an inquiry or placing an order, you agree to be bound by these Terms.

1. General

2. Quotations and Pricing

2.1 Quote Validity

All quotations are valid for 30 days from the date of issue unless otherwise specified. Prices are quoted in USD unless otherwise agreed and are based on current material costs, exchange rates, and manufacturing capacity at the time of quotation.

2.2 Price Changes

If raw material prices (steel plate, alloy ingots, seal components) fluctuate by more than 10% between the quotation date and the order confirmation date, we reserve the right to adjust the price proportionally. We will notify you of any adjustment and seek your written confirmation before proceeding.

2.3 Incoterms

Our standard quotation is FOB Weihai Port. CIF, CFR, and other terms are available upon request. Freight and insurance costs are calculated based on the destination port at the time of order confirmation and may change before shipment.

3. Order Confirmation

3.1 How an Order Becomes Binding

An order becomes binding when both parties have signed the purchase contract (or equivalent written confirmation via email or WeChat). The signed contract supersedes all prior quotations and communications.

3.2 Technical Agreement

For custom reactor orders, a separate Technical Agreement will be prepared and signed. This document specifies the exact design parameters, material grades, inspection requirements, and delivery terms. The Technical Agreement is an integral part of the contract.

3.3 Drawing Approval

Manufacturing begins only after you have approved the detailed engineering drawings. Drawing approval is your confirmation that the design meets your process requirements. Any changes requested after drawing approval may result in schedule delays and additional costs.

4. Payment Terms

Standard payment terms for international orders:

Accepted payment methods: T/T (bank transfer), L/C at sight. Other terms may be negotiated for repeat customers or large orders.

5. Delivery and Shipping

5.1 Lead Time

Lead times are estimates based on current production scheduling. Standard reactors: 60–90 days. Complex or high-specification reactors: 90–120 days. Lead time starts from the date of deposit payment and drawing approval.

5.2 Shipping

FOB terms: we arrange loading onto the vessel at Weihai Port. Your forwarder handles ocean freight and customs clearance at the destination. We provide all export documentation including commercial invoice, packing list, bill of lading, certificate of origin, and material certificates.

5.3 Delays

We will notify you promptly of any delays caused by factors within our control. Delays caused by force majeure (natural disasters, war, government restrictions, pandemics) or changes in your specifications after contract signing are not our responsibility.

6. Quality and Inspection

6.1 Quality Standards

All reactors are manufactured in accordance with ASME Section VIII Division 1 (or your specified code: PED, GB150, EN13445). Materials comply with the grades specified in the contract. All welds are inspected according to the NDT plan agreed in the Technical Agreement.

6.2 Factory Acceptance Test (FAT)

You have the right to conduct or witness a FAT at our facility before shipment. The FAT includes hydrostatic testing, dimensional verification, and review of all quality documents. If you cannot attend in person, we can arrange a video call for remote witnessing.

6.3 Third-Party Inspection

Third-party inspection by SGS, Bureau Veritas, or Lloyd's Register is available at your expense. We will cooperate fully with the inspector and provide all necessary access and documentation.

7. Warranty

7.1 Warranty Period

We provide a 12-month warranty from the date of bill of lading (or 18 months from manufacturing completion, whichever comes first) covering defects in materials and workmanship under normal operating conditions.

7.2 What Is Covered

7.3 What Is Not Covered

7.4 Warranty Claim Process

To make a warranty claim, contact zwfw@whzhengweihj.com with photos and a description of the issue. We will respond within 48 hours and arrange repair parts, technical guidance, or on-site support as needed.

Reproduction, distribution, or use of our content for commercial purposes without written permission is prohibited.

Custom reactor designs developed specifically for a customer remain the intellectual property of the customer. Standard designs and proprietary engineering methods used in our manufacturing process remain the intellectual property of the Company.

9. Limitation of Liability

To the maximum extent permitted by law, the Company's total liability arising from any contract or claim shall not exceed the total contract price paid by the customer. The Company is not liable for any indirect, consequential, incidental, or punitive damages, including lost profits, production downtime, or business interruption.

The customer is responsible for verifying that the reactor design is suitable for their specific process conditions. While we provide engineering guidance based on the information you supply, we cannot guarantee that the equipment will perform in your exact operating environment without your own process validation.

10. Governing Law and Dispute Resolution

11. Force Majeure

Neither party shall be liable for failure to perform its obligations when such failure is caused by events beyond reasonable control, including but not limited to: natural disasters, war, terrorism, government embargoes, pandemic restrictions, port closures, or major raw material supply disruptions. The affected party must notify the other party within 15 days of the event.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our website or placement of orders after changes are posted constitutes acceptance of the revised Terms.
